Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the http://www.qpq.international website and the QPQ mobile application (the "Site", "Service") operated by QPQ International ("QPQ", "we" or "us").
As a member or User ("you" or "your"), access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all members who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. Additionally, using the Site indicates that you accept these terms regardless of whether or not you choose to register with us. If you disagree with any part of the terms then, please, refrain from using our Site and availing our Services.

1. Introduction
1.1. You may access some areas of the Site without registering your details with us. The membership Site is only accessible upon complete registration.
1.2. By accessing any part of this Site you shall be deemed to have accepted this legal notice in full. If you do not accept this legal notice in full, you must leave the Site immediately.
2. Provision of Services
2.1. You must apply and meet qualification criteria before you can register as a member on the Site in order to access and use some Services. Further, QPQ reserves the right, without prior notice, to restrict access to or use of certain Services (or any features within the Services) to paying Users or subject to other conditions that QPQ may impose at their discretion.
2.2. QPQ may launch, change, upgrade, impose conditions to, suspend, or stop any Services (or any features within the Services) without prior notice except that in case of a fee-based Service, such changes will not substantially adversely affect the paying Users in enjoying that Service.
3. General Terms of Use
3.1. In order to access the Site, you must be a minimum of twenty-one (21) years old (measured according to the Gregorian calendar) and have full legal capacity. You warrant, represent and undertake that you possess the legal right and experience, knowledge and ability to access and use the Site in accordance with these Terms.
3.2. As a condition of your access to and use of the Sites or Services, you agree that you will comply with all applicable laws and regulations when using the Sites or Services.
3.3. You agree to use the Sites or Services solely for your own private and internal purposes. You agree that (a) you will not copy, reproduce, download, re-publish, sell, distribute or resell any Services or any information, text, images, graphics, video clips, sound, directories, files, databases or listings, etc. available on or through the Site (the "Site Content"), and (b) you will not copy, reproduce, download, compile or otherwise use any Site Content for the purposes of operating a business that competes with QPQ, or otherwise commercially exploiting the Site Content. Use of any content or materials on the Sites for any purpose not expressly permitted in the Terms is prohibited.
3.4. Links to third party websites on the Site are provided solely for your convenience. If you use these links, you leave the Site. QPQ has not reviewed all of these third party websites and does not control and is not responsible for these websites or their content or availability. QPQ therefore does not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to the Site, you do so entirely at your own risk.
3.5. You own all of the content, feedback, and personal information that you provide, submit or post to our Services, and you are only granting to QPQ the following non-exclusive license:
3.5.1. A worldwide, transferable and license to use, copy, modify, distribute, publish, process and transmit, information and content that you provide through our Services, without any further consent, notice and/or compensation to you or others. These rights are limited in the following ways:
3.5.1.1. We will get your consent if we want to give others the right to publish your content beyond the QPQ Services and any third parties that contribute to QPQ Services.
3.5.1.2. As you own your content and information and we only have non-exclusive rights to it, you may choose to make it available to others.
3.6. You are prohibited from posting or transmitting to or from the Site any material:
3.6.1. that is threatening, defamatory, obscene, indecent, seditious, offensive, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience; or
3.6.2. for which you have not obtained all necessary licenses and/or approvals; or
3.6.3. which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in any country in the world; or
3.6.4. which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).
3.7. QPQ shall fully co-operate with any law enforcement authorities or court order requesting or directing the QPQ to disclose the identity or locate anyone posting any material in breach of clause 3.6.
4. Conduct
QPQ Services, include but are not limited to, allowing members to post requests and respond to these requests, receiving business support and obtaining business services from third party providers. You are responsible for the content and frequency of the posts made. Each member is expected to keep the requests and responses focused on the purpose of the QPQ community that is to help yourself and other members grow their business by making valuable business introductions from your personal networks, getting business support, using business services from Business Hub.
5. Service Access
5.1. While we endeavour to ensure that the Site is normally available 24 hours a day, we shall not be liable if for any reason the Site is unavailable at any time or for any period.
5.2. Access to the Site may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond the Company's control.
6. Member Accounts
6.1. User must be registered on the Site to access or use some Services (a registered User is also referred to as a "Member" below). Each registration is for a single user only. We do not permit you to share your user name and password with any other person nor with multiple users on a network.
6.2. QPQ may cancel or terminate a User's member account if we have reasons to suspect that the User has concurrently registered or controlled two or more member accounts. Further, we may reject User's application for registration for any reason.
6.3. Each Member shall be solely responsible for maintaining the confidentiality and security of their Member ID and password and for all activities that occur under their account. No Member may share, assign, or permit the use of their Member account, ID or password by another person.
6.4. Member agrees to notify QPQ immediately if you become aware of any unauthorized use of your password or your account or any other breach of security of your account.
7. Member Obligations
7.1. In order to use certain features of the QPQ Services, including the members Sites, you will be required to provide QPQ with certain personal information, including, but not limited to, your name, address, telephone number, e-mail address, date of birth, company trade license number. QPQ may also require you to answer certain questions or take actions in order to verify your identity, provide the QPQ Services to you, or comply with applicable law. In submitting this or any other personal information as may be required, you verify that the information is accurate and authentic, and you agree to update QPQ if any information changes.
7.2. QPQ also requests, in support of the above, that potential members submit to QPQ certified identification documents. QPQ accepts the following documents as proof of personal identity: Passport (current); or UAE ID Card; or UAE Driving License. Proof of business ownership: Trade License.
7.3. You hereby authorize QPQ to, directly or through third parties make any inquiries we consider necessary to verify your identity and/or protect against fraud, including to query identity information contained in public reports (e.g., your name, address, past addresses, or date of birth), to query account information associated with your linked bank account or qualifying credit/debit cards (e.g., name or account balance), and to take action we reasonably deem necessary based on the results of such inquiries and reports. In the event that you do not grant authorization to third parties to which such inquiries or requests may be directed, this may affect QPQ's ability to verify your information and consequently prohibit the issuance of your membership.
7.4. Each Member represents, warrants and agrees that (a) you have full power and authority to accept the Terms, to grant the license and authorization and to perform the obligations hereunder; (b) you use the Service for business purposes only; and (c) the address you provide when registering is the principal place of business of your business entity.
7.5. Upon becoming a Member, you consent to the inclusion of the contact information about you in our Database and authorize us and our affiliates to share the contact information with other Users or otherwise use your personal information in accordance with the Privacy Policy.
7.6. Each Member represents, warrants and agrees that (a) you shall be solely responsible for obtaining all necessary third party licenses and permissions regarding any User Content that you submit, post or display; (b) any User Content that you submit, post or display does not infringe or violate any of the copyright, patent, trademark, trade name, trade secrets or any other personal or proprietary rights of any third party ("Third Party Rights"); and (c) you and your affiliates are not the subject of any sanctions or other legal restrictions enacted by any country, international organization or jurisdiction.
7.7. Member acknowledges and agrees that QPQ shall not be required to actively monitor nor exercise any editorial control whatsoever over the content of any message or material or information created, obtained or accessible through the Service. QPQ does not endorse, verify or otherwise certify the contents of any comments or other material or information made by any Member. Each Member is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.
8. Member Breaches
8.1. QPQ reserves the right in its sole discretion to remove, modify or reject any User Content that you submit to, post or display on the Site which we reasonably believe is unlawful, violates the Terms, could subject QPQ or our affiliates to liability, or is otherwise found inappropriate in QPQ's opinion.
8.2. Each Member agrees to indemnify QPQ, our affiliates, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from your submission, posting or display of any User Content, from your use of the Sites or Services, or from your breach of the Terms.
8.3. Each Member further agrees that QPQ is not responsible, and shall have no liability to you or anyone else for any User Content or other material transmitted over the Site, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such material rests entirely with each Member.
9. Mobile Services
The QPQ Mobile App will provide certain Services that are available to you via your mobile phone or other mobile device if you have subscribed to them, [including the ability to use your mobile device to contact other Users, receive and reply to messages from QPQ and access certain other features (collectively, the "Mobile Services")]. Users are responsible for checking to determine if the Mobile Services are available for your mobile devices, what restrictions, if any, may be applicable to your use of the Mobile. In the event you change or deactivate your mobile telephone number, you agree to promptly update your mobile account information with us.
10. Termination
10.1. We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms including any confidentiality provisions or fail to pay your subscription.
10.2. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, confidentiality, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
11. Changes
We can change these Terms at any time. If the changes are material, we'll let you know by email or posting a notice on the site before the changes go into effect. The notice will designate a reasonable amount of time (the "Notice Period") after which the new terms will go into effect for all users. If you don't agree to the new terms, please, suspend or cancel your membership within the Notice Period. If you do not suspend or delete your membership within the Notice Period, your content and use of the site will be subject to the new terms going forward. You are advised to check these Terms periodically to ensure that you are aware of and are complying with the current version.
12. Disclaimer12.1. While we endeavor to ensure that the information on the Site is correct, QPQ does not warrant the accuracy and completeness of the material on the Site. QPQ may make changes to the material on the Site, or to the services described in it, at any time without notice. The material on the Site may be out of date, and QPQ makes no commitment to update such material.
12.2. The material on the Site is provided "as is", without any conditions, warranties or other terms of any kind. Accordingly, to the maximum extent permitted by law, QPQ provides you with the Site on the basis that QPQ excludes all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of [satisfactory quality, fitness for purpose and the use of reasonable care and skill]) which, but for this legal notice, might have effect in relation to the Site.
13. Intellectual Property RightsQPQ is the sole owner or lawful licensee of all the rights and interests in the Site and the Site Content. All title, ownership and intellectual property rights in the Sites and Site Content shall remain with QPQ. All rights not otherwise claimed under the Terms or by QPQ are hereby reserved.
14. Limitation of Liability
14.1. Notwithstanding anything in this Agreement to the contrary, neither QPQ or member shall have any liability under this Agreement, for: (a) any punitive or exemplary damages, or (b) any special, consequential, incidental or indirect damages, including lost profits, lost data, lost revenues and loss of business opportunity, whether or not either party was aware or should have been aware of the possibility of these damages.
14.2. The Site is provided "as is," without any express or implied warranties of any kind. We cannot and do not warrant the accuracy, reliability, quality or completeness of the information provided on the Site nor that the services provided via the Site will be timely, non-infringing, of merchantable quality or fit for a particular purpose, and we hereby disclaim any and all such express or implied warranties, except those that cannot be lawfully excluded.
14.3. Each User hereby agrees to indemnify and save QPQ, our affiliates, directors, officers and employees harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from such User's use of the Sites or Services (including but not limited to the display of such User's information on the Sites) or from your breach of any of the terms and conditions, including any representations and warranties made by the User to QPQ.
14.4. Each User hereby further agrees to indemnify and save QPQ, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, as a result of any claims asserted by Third Party Rights claimants or other third parties relating to services offered or information displayed on the Site. Each User hereby further agrees that QPQ is not responsible and shall have no liability to you, for any material posted by others, including defamatory, offensive or illicit material and that the risk of damages from such material rests entirely with each User. QPQ reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with QPQ in asserting any available defenses.
14.5. QPQ shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract or otherwise or any other damages resulting from any of the following: 14.5.1. the use or the inability to use the Site or Services;
14.5.2. any misleading, inaccurate, incomplete, false data, information or services relied upon by any User or any other third party through the Site;
14.5.3. unauthorized access by third parties to data or private information of any Users;
14.5.4. statements or conduct of any User of the Sites; or;
14.5.5. any matters relating to Services however arising, including negligence.
14.6. Notwithstanding any of the foregoing provisions, the aggregate liability of QPQ, our employees, agents, affiliates, representatives or anyone acting on our behalf with respect to each User for all claims arising from the use of the Site or Services is limited to the total amount of initiation and subscription fees paid by that member to QPQ.
15. Indemnity
You agree, to the fullest extent permitted by law, to indemnify, defend and hold harmless QPQ from and against any claims, liability, losses, costs and expenses (including, but not limited to reasonable attorneys' fees) incurred by QPQ in connection with any violation of these Terms by you and any use or alleged use of this Site under your password by any person, whether or not authorized by you.
16. Force Majeure
Under no circumstances shall QPQ be held liable for any delay or failure or disruption of the content or services delivered through the Site resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.
17. Governing law and jurisdiction
This legal notice shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Disputes arising in connection with this legal notice shall be subject to the exclusive jurisdiction of the Dubai courts.

10. Termination
10.1. We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms including any confidentiality provisions or fail to pay your subscription.
